Terms of Service

These Terms of Service ("Terms") govern your access to and use of the 1Gesture service ("Service"), operated by 1Gesture CIC ("1Gesture", "we", "our", "us"). By creating an account, subscribing to a plan, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

1Gesture provides branded meeting-reminder emails with optional impact-gesture funding. The Service allows you to:

1Gesture is not a financial services provider, investment platform, or regulated financial institution, and is not itself a registered charity. Gestures are facilitated by 1Gesture and directed to verified Impact Partners. 1Gesture acts as a facilitator, not as the Impact Partner itself.

If you use the Service on behalf of an organisation, you confirm that you are authorised to bind that organisation to these Terms. We reserve the right to suspend or terminate accounts that violate these Terms or engage in abusive, fraudulent, or harmful behaviour.

3. Subscriptions, Plans & Billing

Pricing

1Gesture is priced on a "$1 per Gesture" basis, in US dollars (USD). The Starter plan is billed at a flat monthly price (currently USD $20 per month). Pro and Team are billed at USD $1 per Gesture per month, multiplied by the monthly allowance you select — so, for example, a Pro plan set to 50 Gestures is USD $50 per month. Annual billing is offered at the equivalent yearly rate. We may also offer one-off "Boost" top-ups that add extra Gestures to your current month for a fixed one-time price.

The prices, allowances, and plan features that apply to you are those displayed at the time you subscribe or change your plan. Prices are exclusive of any applicable taxes unless stated otherwise at checkout. We may change our prices and plan features, and will give notice of changes as described in Section 12.

Payment & Renewal

Payments are processed by our payment provider, Stripe. By subscribing, you authorise us, through Stripe, to charge your chosen payment method for the recurring fees and any one-off Boosts you purchase. Paid plans renew automatically at the end of each billing period (monthly or annually) until cancelled. Your Gesture allowance is metered on a calendar-month basis, which may not align exactly with your Stripe billing date.

Upgrades, Downgrades & Failed Payments

You can change your plan from within the Service. Upgrades take effect immediately, are charged on a pro-rata basis for the remainder of the current period, and add the additional allowance to your current month straight away. Downgrades and lateral changes do not remove Gestures already granted for the current period and take full effect from the next period. If a payment fails, Stripe may re-attempt it; your plan may remain active during this period, and if payment cannot be collected we may suspend or downgrade your account.

No Free Trial

We do not currently offer a time-limited paid trial. The Free plan lets you use the core product at no cost for as long as you wish.

Cancellation

You can cancel a paid plan at any time through the billing portal. Cancellation takes effect at the end of your current billing period: you keep access and any remaining allowance until then, after which your organisation returns to the Free plan and unused plan and rollover balances are reset. Any one-off Boost Gestures you have already paid for are retained until they expire (see Section 5).

Refunds

Except where required by applicable law, subscription fees and Boost purchases are non-refundable, and Gestures that have already been funded and directed to an Impact Partner cannot be reversed or refunded. Nothing in these Terms limits any non-waivable statutory cancellation or refund rights you may have as a consumer.

4. Impact Gestures

Gestures allow you to fund meaningful contributions through verified Impact Partners. By using this feature, you acknowledge and agree that:

Your monthly Gesture allowance does not accumulate indefinitely:

These automatic donations are recorded in our impact ledger, count toward your impact totals, and — like all funded Gestures — are not refundable or reversible. You can change your default gesture at any time, which changes where future automatic donations are directed.

6. Public & Recipient-Facing Impact

By default, when a recipient claims a Gesture, the confirmation page they see may display your organisation's aggregate lifetime impact — summed totals per gesture type only, never attendee details or financial information. If your organisation is on a paid plan and has set a public profile, we may also publish a public impact page (for example at /impact/your-organisation) showing your organisation name and its aggregate impact totals.

Both surfaces display aggregate, non-financial information only. You can switch them off at any time in your organisation settings. See our Privacy Policy for further detail on this processing.

7. Intellectual Property

Our Property

The 1Gesture name, brand, logo, website, application, and all associated software, designs, and content are the intellectual property of 1Gesture. You may not reproduce, modify, distribute, or create derivative works from any part of our intellectual property without prior written consent.

Your Property

Any logos, brand assets, or images you upload to 1Gesture remain your property. By uploading them, you grant 1Gesture a limited, non-exclusive licence to display them within meeting-reminder emails and within the Service as necessary to provide the features you have configured.

Impact Certificates

Impact certificates generated by 1Gesture are licensed for personal and professional sharing (including on social media, in presentations, and in reports). You may not alter the content of certificates or misrepresent the impact they describe.

10. Disclaimers & Limitation of Liability

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Nothing in these Terms excludes or limits our liability where it would be unlawful to do so. Subject to that, our total aggregate liability to you for any claims arising out of or related to the Service shall be limited to the greater of the amount you paid us in the twelve months before the claim, or the maximum extent permitted by applicable law.

11. Indemnification

You agree to indemnify and hold harmless 1Gesture, its officers, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Changes to These Terms

We may modify these Terms from time to time. When we make material changes, we will notify you via email or through a prominent notice in the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

13. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales. Nothing in these Terms affects your statutory rights as a consumer under applicable law, including any mandatory rights under the law of the country in which you live.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and 1Gesture regarding your use of the Service.
