Terms of Service

These Terms of Service ("Terms") govern your access to and use of the 1Gesture service ("Service"), operated by 1Gesture CIC ("1Gesture", "we", "our", "us"). By creating an account, subscribing to a plan, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

1Gesture provides branded meeting-reminder emails with optional impact-gesture funding. The Service allows you to:

• Connect your Google or Microsoft calendar (read-only) to generate personalised meeting reminders.
• Send branded reminder emails, on your behalf from your own connected mailbox, to meeting attendees ahead of scheduled events.
• Fund impact gestures (each, a "Gesture") — small, meaningful contributions directed to verified Impact Partners on behalf of you and the people you meet.

2. Eligibility & Account Responsibilities

When you create a 1Gesture account, you agree to:

• Be at least 18 years of age.
• Provide accurate and complete information during registration.
• Keep your account credentials secure and not share them with third parties.
• Accept responsibility for all activity that occurs under your account.
• Notify us immediately if you suspect unauthorised access to your account.

If you use the Service on behalf of an organisation, you confirm that you are authorised to bind that organisation to these Terms. We reserve the right to suspend or terminate accounts that violate these Terms or engage in abusive, fraudulent, or harmful behaviour.

3. Subscriptions, Plans & Billing

Plans

The Service is offered on the following plans:

• Free — includes the dashboard and branded reminders but funds no Gestures (a monthly allowance of 0 Gestures).
• Starter — a single user seat with a fixed monthly allowance of 20 Gestures.
• Pro — a single user seat with a monthly allowance you choose, between 50 and 200 Gestures.
• Team — two or more seats, each with an allowance you choose between 40 and 200 Gestures, pooled across your team.

Pricing

1Gesture is priced on a "$1 per Gesture" basis, in US dollars (USD). The Starter plan is billed at a flat monthly price (currently USD $20 per month). Pro and Team are billed at USD $1 per Gesture per month, multiplied by the monthly allowance you select — so, for example, a Pro plan set to 50 Gestures is USD $50 per month. Annual billing is offered at the equivalent yearly rate. We may also offer one-off "Boost" top-ups that add extra Gestures to your current month for a fixed one-time price.

The prices, allowances, and plan features that apply to you are those displayed at the time you subscribe or change your plan. Prices are exclusive of any applicable taxes unless stated otherwise at checkout. We may change our prices and plan features, and will give notice of changes as described in Section 12.

Payment & Renewal

Payments are processed by our payment provider, Stripe. By subscribing, you authorise us, through Stripe, to charge your chosen payment method for the recurring fees and any one-off Boosts you purchase. Paid plans renew automatically at the end of each billing period (monthly or annually) until cancelled. Your Gesture allowance is metered on a calendar-month basis, which may not align exactly with your Stripe billing date.

Upgrades, Downgrades & Failed Payments

You can change your plan from within the Service. Upgrades take effect immediately, are charged on a pro-rata basis for the remainder of the current period, and add the additional allowance to your current month straight away. Downgrades and lateral changes do not remove Gestures already granted for the current period and take full effect from the next period. If a payment fails, Stripe may re-attempt it; your plan may remain active during this period, and if payment cannot be collected we may suspend or downgrade your account.

No Free Trial

We do not currently offer a time-limited paid trial. The Free plan lets you use the core product at no cost for as long as you wish.

Cancellation

You can cancel a paid plan at any time through the billing portal. Cancellation takes effect at the end of your current billing period: you keep access and any remaining allowance until then, after which your organisation returns to the Free plan and unused plan and rollover balances are reset. Any one-off Boost Gestures you have already paid for are retained until they expire (see Section 5).

Refunds

Except where required by applicable law, subscription fees and Boost purchases are non-refundable, and Gestures that have already been funded and directed to an Impact Partner cannot be reversed or refunded. Nothing in these Terms limits any non-waivable statutory cancellation or refund rights you may have as a consumer.

4. Impact Gestures

Gestures allow you to fund meaningful contributions through verified Impact Partners. By using this feature, you acknowledge and agree that:

• Each Gesture has a value of USD $1.00, of which USD $0.50 is allocated to the verified Impact Partner behind the chosen cause and USD $0.50 is retained by 1Gesture to operate and improve the Service.
• Gestures are funded from your organisation's monthly allowance. When a recipient chooses a Gesture on a reminder you have funded, one Gesture is drawn from that allowance.
• The charity portion of all Gesture revenue is ring-fenced — held separately and directed exclusively to the selected Impact Partners.
• Impact Partners are independently verified by 1Gesture. We make reasonable efforts to confirm their legitimacy, but we do not guarantee the outcomes delivered by Impact Partners.
• Where a recipient chooses to "double" a Gesture, the additional contribution to the Impact Partner is funded by 1Gesture and does not draw on your allowance.
• Gesture selections made by attendees are private by default and are not disclosed to meeting hosts unless the attendee explicitly consents.

5. Unused Gestures & Automatic Donation

Your monthly Gesture allowance does not accumulate indefinitely:

• Unused plan Gestures roll over for one calendar month only.
• At the end of each calendar month, any Gestures from your allowance that are not used and do not roll over are donated automatically to the good cause behind your default gesture. Where you have not set a default gesture, the donation is directed to a verified cause selected by 1Gesture.
• Unused one-off Boost Gestures are donated on the same basis when they expire at the end of the month.

These automatic donations are recorded in our impact ledger, count toward your impact totals, and — like all funded Gestures — are not refundable or reversible. You can change your default gesture at any time, which changes where future automatic donations are directed.

6. Public & Recipient-Facing Impact

By default, when a recipient claims a Gesture, the confirmation page they see may display your organisation's aggregate lifetime impact — summed totals per gesture type only, never attendee details or financial information. If your organisation is on a paid plan and has set a public profile, we may also publish a public impact page (for example at /impact/your-organisation) showing your organisation name and its aggregate impact totals.

Both surfaces display aggregate, non-financial information only. You can switch them off at any time in your organisation settings. See our Privacy Policy for further detail on this processing.

7. Intellectual Property

Our Property

The 1Gesture name, brand, logo, website, application, and all associated software, designs, and content are the intellectual property of 1Gesture. You may not reproduce, modify, distribute, or create derivative works from any part of our intellectual property without prior written consent.

Your Property

Any logos, brand assets, or images you upload to 1Gesture remain your property. By uploading them, you grant 1Gesture a limited, non-exclusive licence to display them within meeting-reminder emails and within the Service as necessary to provide the features you have configured.

Impact Certificates

Impact certificates generated by 1Gesture are licensed for personal and professional sharing (including on social media, in presentations, and in reports). You may not alter the content of certificates or misrepresent the impact they describe.

8. Acceptable Use

You agree not to use the Service to:

• Send unsolicited or spam communications.
• Harass, abuse, or harm other users or attendees.
• Distribute malicious software or content.
• Attempt to gain unauthorised access to the Service or other users' accounts.
• Use the Service in violation of any applicable law or regulation.
• Impersonate another individual or organisation.

9. Termination

By You

You may delete your account at any time through your account settings. Upon deletion:

• Your personal data will be removed within 30 days, as detailed in our Privacy Policy, except for records we are required or entitled to retain — including immutable impact-ledger entries kept to maintain the integrity of charitable allocations, and billing and transaction records retained to meet tax and accounting obligations.
• Completed Gestures are not reversible — funds already directed to Impact Partners will not be refunded.

By Us

We may suspend or terminate your account if:

• You breach these Terms.
• We are required to do so by law.
• Your account has been inactive for an extended period (we will notify you before any such action).
• Continuing to provide the Service to you would pose a risk to other users or the integrity of the Service.

We will make reasonable efforts to provide advance notice before termination, except where immediate action is necessary to prevent harm.

10. Disclaimers & Limitation of Liability

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the maximum extent permitted by law, 1Gesture shall not be liable for:

• Failures or delays in email delivery.
• Calendar synchronisation delays or errors.
• The performance, conduct, or outcomes of Impact Partners.
• Loss of data resulting from service interruptions beyond our reasonable control.
• Indirect, incidental, special, consequential, or punitive damages.

Nothing in these Terms excludes or limits our liability where it would be unlawful to do so. Subject to that, our total aggregate liability to you for any claims arising out of or related to the Service shall be limited to the greater of the amount you paid us in the twelve months before the claim, or the maximum extent permitted by applicable law.

11. Indemnification

You agree to indemnify and hold harmless 1Gesture, its officers, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Changes to These Terms

We may modify these Terms from time to time. When we make material changes, we will notify you via email or through a prominent notice in the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

13. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales. Nothing in these Terms affects your statutory rights as a consumer under applicable law, including any mandatory rights under the law of the country in which you live.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and 1Gesture regarding your use of the Service.
